M&A

One of our most dynamic departments, M&A is always ready for the diverse challenges the business environment creates. From mergers between companies, to private equity projects or business angels’ investments, we focus on finding optimal solutions for our clients, by taking into consideration the overview picture of the entire transaction and future structure.

Thus, we assist our clients from the due diligence phase up to the signing of the actual M&A documents needed for consolidation of companies or assets through various types of transactions, including mergers, acquisitions, purchase of assets and so on.

The most important projects from this year:

  • Carrying out due diligence and preparing reports so that an important business angel active especially in the western part of the country, can decide on investing in several IT start-ups. Among them, we mention a promising start-up from Timisoara that created a software which analyzes radiographs in digital format with the possibility of interpreting the results by differentiated diagnosis, as well as a start-up from Luxembourg that develops an automatic email/ticket-response system for back offices and support teams
  • Drafting, respectively verification of M&A documents necessary for the acquisition of participations by the business angel in the chosen start-ups
  • Providing advice to a major furniture manufacturer in order to identify the corporate structure of within the group of companies, which would best suit its interests
  • Preparation of M&A documentation and completion of registration formalities at the competent trade register, needed for taking over a Romanian company by our client, a French company active in the field of animal products trading
